1. Introduction

Welcome to Go Locally (the “App” and “Services”), operated by Go Locally AI S.L., a Spanish company registered in Madrid (“Go Locally”, “we”, “our”, “us”).

These Terms & Conditions govern your access to and use of the App and any associated websites, tools, interfaces, chat, maps, wallet, credits, content, communications, and support channels (collectively, the “Services”).

By downloading, installing, accessing, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

2. Definitions & Interpretation

2.1 Definitions

In these Terms, unless context requires otherwise:

  • User / you / your: any individual accessing or using the Services

  • User Content: any content you submit, upload, transmit, or make available through the Services (including chat messages, feedback, images, saved places, routes, lists, profile preferences, and other inputs)

  • AI Output: content generated by our AI systems (including recommendations, suggested plans, routes, descriptions, replies, summaries, and other outputs)

  • Credits: internal digital units used to access certain discovery features and AI-driven actions within the App

  • Credit Package: a bundle of Credits offered for purchase through Apple App Store and/or Google Play billing systems

  • Wallet: the in-app section where you can view Credits balance, usage, and purchase history

  • Third-party Provider: any external service, API, platform, merchant, or partner accessible via the App (including booking/ticketing/reservation providers, payment platforms, mapping providers, analytics/measurement providers, content partners, and other integrations)

  • Applicable Law: all laws and regulations applicable to you or to us, including consumer protection and privacy laws

2.2 Interpretation

Headings are for convenience only. The singular includes the plural and vice versa. If any provision is held invalid or unenforceable, it will be amended to the minimum extent necessary to be enforceable, and the remainder will remain in full force.

3. Scope, Eligibility & User Agreement

3.1 Global Operation

The Services are offered worldwide. You acknowledge that the Services may be operated from Spain and that data may be processed in Spain, the EU, and other jurisdictions where we and our providers operate, subject to required safeguards.

3.2 Eligibility & Minimum Age

You must be at least 16 years old, or the minimum age required in your jurisdiction to use the Services and consent to data processing. If you are under the age of majority, you must have parent or guardian permission.

3.3 Authority

If you use the Services on behalf of an entity, you represent that you have authority to bind that entity.

3.4 Incorporation by Reference

These Terms include and incorporate additional notices or policies we provide in-app (e.g., credit cost notices, feature-specific disclaimers, safety notices), to the extent permitted by law.

4. Account Registration, Access & Security

4.1 Account Creation

Some features require an account. You agree to provide accurate information and keep it updated.

4.2 Security

You are responsible for safeguarding your credentials and all activity under your account. Notify us promptly if you suspect unauthorized access.

4.3 Suspension / Termination

We may suspend, restrict, or terminate your access if we reasonably believe you:
(a) violated these Terms
(b) used the Services unlawfully or abusively
(c) created risk or harm
(d) attempted fraud, exploitation, circumvention, or security abuse
(e) are required to be restricted by law

We may also limit features, throttle usage, or remove content to protect the Services, users, and partners.

5. License Grant, Acceptable Use & Restrictions

5.1 License

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the App for personal, non-commercial use, subject to these Terms.

5.2 Prohibited Conduct (Non-Exhaustive)

You must not, and must not assist others to:
(a) copy, modify, distribute, sell, sublicense, or commercially exploit the App (except as permitted by law)
(b) reverse engineer or attempt to discover source code, AI models, algorithms, or underlying systems (except where prohibited by law)
(c) bypass or tamper with security, access controls, rate limits, usage restrictions, or safety mitigations
(d) scrape, harvest, or programmatically extract content, output, or user data
(e) infringe rights of others or violate privacy, publicity, copyright, trademark
(f) submit unlawful, harmful, deceptive, harassing, abusive, or discriminatory content
(g) use the Services to create or disseminate malware or compromise systems
(h) interfere with the Services or third-party providers integrated into the Services

5.3 Updates

We may provide updates automatically. You agree to receive updates as part of your use.

6. Credits Model — Wallet, Packages, Rules (No Subscriptions)

6.1 No Subscriptions / No Recurring Fees

Go Locally operates on a credits-based model. No subscriptions or recurring fees apply to Credits.

6.2 All Packages Include

Credit Packages may include access to:

  • Restaurants, events, exhibitions, tickets, and local experiences discovery

  • Mood-based recommendations tailored to how you feel

  • Personalized guidance from 6 local AI characters

  • Discovery through chat and interactive maps

  • Time- and location-aware suggestions (where enabled)

  • Booking links for experiences and venues when available

  • Save favorite places and routes

  • Use credits worldwide in available cities

6.3 What Are Credits

Credits are internal units used to access certain discovery features and AI-powered recommendations. Credits are required for certain actions, such as exploring categories or requesting personalized AI recommendations.

6.4 Free Starter Credits

When you create an account, you may receive free credits to explore and test the Services. Free credits are promotional and may vary, be modified, or be discontinued at any time.

6.5 How Credits Are Used

Credits are deducted only when you actively request specific actions. Each action has a defined credit cost applied at the moment the action is requested. Go Locally does not deduct credits automatically or in the background.

6.6 Wallet Transparency

Credit usage is tracked and updated daily (or as otherwise displayed in-app). You can review credit usage and purchase history at any time in the Wallet.

6.7 Credits Never Expire

Credits do not expire and remain available until used, subject to these Terms and mandatory platform or legal requirements.

6.8 Changes to Credit Costs

We may adjust credit costs, introduce new credit-requiring actions, or modify credit logic. Applicable costs are displayed in-app at the moment of action.

7. Purchases of Credits — App Store / Google Play, Refunds

7.1 Platform Billing

Credit Packages are sold via Apple App Store and/or Google Play billing. Purchases are subject to platform terms and refund policies.

7.2 No Direct Payment Collection

We do not collect or store full payment card details for in-app purchases. Payment is handled by Apple/Google and authorized processors. We may receive limited metadata to validate delivery.

7.3 Refunds

Refunds are handled per platform policy and mandatory consumer law. To the maximum extent permitted by law, Credits are non-refundable once delivered, except where required.

7.4 Errors and Entitlements

If you believe Credits were not delivered properly, contact support. We may require proof of purchase and may suspend or correct entitlements if fraud or error is detected.

8. Third-Party Bookings & External Providers — Discovery Platform Only

8.1 Discovery, Not Agency

The App and AI chat are a discovery and personalization platform. Go Locally AI S.L. is not a travel agency, reseller, or merchant of record for third-party bookings offered or linked within the App.

8.2 Third-Party Transactions

If you proceed to book through a Third-party Provider, you contract directly with that provider under their terms and privacy policy.

8.3 No Liability for Third-Party Services

To the maximum extent permitted by law, we are not responsible for third-party availability, pricing, accuracy, cancellations, refunds, disputes, service quality, safety, or customer service.

8.4 Disputes and Refunds

Cancellations, refunds, modifications, and disputes must be handled directly with the Third-party Provider.

8.5 Future Go Locally Agency

Any future “Go Locally Agency” service will have separate terms presented at purchase. These Terms cover the App and AI chat only.

9. AI-Generated Content — Accuracy, Risk, Reliance

9.1 Probabilistic Outputs

AI Output may be inaccurate, incomplete, outdated, or unsuitable.

9.2 No Guarantee

We do not warrant AI Output is correct, reliable, or complete, and disclaim liability for reliance on AI Output to the maximum extent permitted.

9.3 You Must Verify

You must independently verify critical information (hours, prices, accessibility, safety, reservation requirements, entry rules, transportation, and similar).

9.4 No Professional Advice

AI Output is not legal, medical, safety, financial, or other professional advice.

9.5 No Endorsement

References to third parties do not imply endorsement unless explicitly stated.

10. User Content & Intellectual Property

10.1 Your Ownership

You retain ownership of your User Content.

10.2 License to Go Locally

You grant us a worldwide, royalty-free, sublicensable license to host, store, reproduce, modify (formatting/translation), display, and use User Content to operate, secure, and improve the Services, and to enforce these Terms.

10.3 Content Standards

You represent you have all rights required to submit User Content and it does not violate law or third-party rights.

10.4 Removal

We may remove or restrict content at our discretion for safety, compliance, integrity, or operational reasons.

11. Disclaimers of Warranties

Services are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties to the maximum extent permitted by law, including merchantability, fitness, non-infringement, and that Services will be uninterrupted, accurate, or error-free.

12. Limitation of Liability

To the maximum extent permitted:

  • We are not liable for indirect, consequential, or punitive damages

  • We are not liable for third-party providers or reliance on AI Output

  • Our aggregate liability is capped at the greater of (i) amounts paid by you in the preceding 12 months or (ii) €100, except where mandatory law requires otherwise

13. Indemnification

You agree to defend, indemnify, and hold us harmless for claims arising from your use, your content, or your violation of law or rights.

14. Intellectual Property Complaints

If you believe content in the Services infringes your intellectual property rights, send notice to mario@golocally.ai including:
(a) your name and contact info
(b) identification of the protected work
(c) where the allegedly infringing material is located
(d) statement of good-faith belief
(e) statement under penalty of perjury that the notice is accurate and authorized
(f) your electronic signature

We may remove content and, where appropriate, terminate repeat infringers.

15. Trade Controls / Sanctions / Export

You must comply with applicable export control and sanctions laws. You may not use the Services if prohibited by law or in violation of sanctions.

16. Changes to These Terms

We may update these Terms from time to time. Changes take effect when posted (or on the stated effective date). Continued use constitutes acceptance.

17. Governing Law & Jurisdiction

These Terms are governed by Spanish law. Courts of Madrid, Spain have exclusive jurisdiction, except where mandatory consumer law requires otherwise.
